Terms of Service

1. Service Description

OpenVC (“the Platform”) is a SaaS platform providing communication and workflow tools for founders and investors, including but not limited to: investor directories, fundraising CRM, pitch deck hosting and tracking, data rooms, AI-assisted cold email generation, and related features.

Important: The Platform provides technology tools only. We are not a broker-dealer, investment adviser, or funding portal. We do not participate in, facilitate, or intermediate any investment transactions. See Section 6 (Investment Risk Disclaimer) for full details.

3. Account Registration & Use

• You must provide true, accurate, and complete registration information and keep it up to date.
• You are responsible for safeguarding your account credentials. You are liable for all activity under your account.
• One account per email address. You may not share, transfer, or sell your account to any other person or entity.
• You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account.
• Investor accounts may be subject to additional verification procedures including but not limited to email verification and institutional affiliation checks.
• We reserve the right to refuse registration or suspend accounts at our sole discretion.

4. User Content & Acceptable Use Policy

You retain ownership of all content you upload, submit, or transmit through the Platform (“User Content”). You grant the Platform a limited, worldwide, non-exclusive, royalty-free license to store, process, and display your User Content solely as necessary to provide the services you have requested.

Prohibited Conduct

You may not use the Platform to:

• Upload, post, or transmit any content that is illegal under applicable laws;
• Engage in fraud, deception, or misrepresentation of any kind;
• Harass, abuse, threaten, or harm any person or group;
• Send unsolicited bulk messages, spam, or other unwelcome communications;
• Distribute malware, viruses, or any code of a destructive nature;
• Infringe upon the intellectual property rights of others;
• Impersonate any person, company, or entity, or falsely state or misrepresent your affiliation;
• Scrape, crawl, or data-mine the Platform by any automated means without prior written permission;
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform.

We reserve the right, but not the obligation, to review User Content and to suspend or terminate accounts that violate this policy, at our sole discretion and without prior notice where appropriate.

5. Subscription & Payments

• A free tier is available with limited features and may continue indefinitely, subject to change with notice.
• Paid subscriptions (e.g., Premium, Pro) are billed on a recurring basis (monthly or annual) at the rates published at time of purchase.
• Payments are processed through third-party payment providers including Stripe, WeChat Pay, and Alipay. The Platform does not store full payment card details.
• You may cancel your subscription at any time in your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused time.
• Fees paid are generally non-refundable except as required by applicable law. Refund requests may be submitted to the contact address in Section 12.
• We reserve the right to change pricing with at least 30 days’ advance notice. Continued use after a price change constitutes acceptance of the new pricing.

6. Investment Risk Disclaimer

OpenVC is a technology platform providing communication and workflow tools. We are not a broker-dealer, investment adviser, or funding portal. We do not:

1. recommend or endorse any investment opportunity;
2. verify the accuracy of information provided by founders or investors;
3. participate in any investment transaction;
4. charge fees based on fundraising outcomes; or
5. take equity in any company.

All investment decisions are made solely by the parties involved and carry inherent risks including total loss of capital. Users should conduct their own due diligence and consult qualified professionals before making investment decisions.

7. Intellectual Property

Platform IP: The Platform’s software, design, trademarks, logos, domain names, and all related intellectual property are owned by or licensed to the operator. You may not copy, modify, distribute, sell, or create derivative works based on the Platform without prior written permission.

User Content: You retain all rights to your User Content. We claim no ownership over your data, documents, or materials uploaded to the Platform.

Copyright Complaint Procedure

If you believe that content on the Platform infringes your copyright, please send a written notice to:

Your notice must include:

1. A description of the copyrighted work you claim has been infringed;
2. The URL or other specific location of the allegedly infringing material on the Platform;
3. Your name, address, telephone number, and email address;
4. A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
5. A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

8. Third-Party Services

The Platform integrates with or relies on third-party services including but not limited to:

• Stripe (payment processing)
• WeChat Pay (payment processing)
• Alipay (payment processing)
• Cloud hosting and infrastructure providers
• Email delivery services

These services are governed by their own terms and privacy policies, which we encourage you to review. We are not responsible for the acts or omissions of third-party service providers, though we select them with reasonable care.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Platform is provided on an “as is” and “as available” basis without warranties of any kind, express or implied.
• We make no guarantee that investors will respond to your outreach, view your pitch deck, or engage with your fundraising efforts.
• We make no guarantee regarding any fundraising outcome, investment return, or business result.
• AI-generated content is provided for convenience only. You should review all AI-generated content before sending.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill.
• Our total liability for any claim arising out of or relating to these terms or the Platform shall not exceed the greater of: (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred US dollars (USD $100).

10. Indemnification

You agree to indemnify, defend, and hold harmless the Platform operator, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of the Platform in violation of these Terms;
• Your User Content, including any claim that it infringes a third party’s rights;
• Your violation of any applicable law or regulation;
• Any investment transaction or communication between you and another user.

11. Service Changes & Termination

• We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice. We will use reasonable efforts to notify you of material changes.
• Price changes will be communicated at least 30 days in advance.
• We may update these Terms from time to time. Material changes will be communicated by email or through the Platform. Continued use after the effective date constitutes acceptance.
• We may suspend or terminate your account immediately for any violation of these Terms, or for any other reason upon reasonable notice.
• Upon termination, your right to access the Platform ceases. We may retain your data for a limited period as described in our Privacy Policy.

12. Dispute Resolution
